This memorandum examines the critical distinction between legitimate job contracting (or permissible contractorship) and prohibited labor-only contracting under Philippine labor law. The determination of this status is of paramount consequence as it dictates the attendant rights, obligations, and liabilities of the parties involved, particularly the liability of the principal for the employees of its contractor. The central issue is under what circumstances a contractual arrangement is deemed legitimate job contracting as opposed to a mere labor-only contracting scheme.

The primary statutes are Articles 106 to 109 of the Labor Code of the Philippines, as amended. These provisions are implemented and expounded by Department of Labor and Employment (DOLE) Department Order No. 174-17, Series of 2017 (“Rules Implementing Articles 106 to 109 of the Labor Code”). Jurisprudence from the Supreme Court provides the authoritative interpretation of these laws and regulations.

The contractor must be the one to hire, pay, supervise, and discipline its own workforce.

For workers alleging they are victims of a labor-only contracting scheme, the practical remedy is to file a complaint for regularization, monetary claims, and/or illegal dismissal before the appropriate DOLE Regional Office or the National Labor Relations Commission (NLRC). The claim should specifically pray for a declaration that they are direct employees of the principal and that the contracting arrangement is a prohibited labor-only scheme. The burden of proof initially rests on the claimant to show a prima facie case of labor-only contracting (e.g., performing work directly related to the principal’s business). The burden then shifts to the principal and contractor to prove the legitimacy of their arrangement by presenting concrete evidence of the contractor’s substantial capital, independent business operations, and lack of control by the principal over work methods. For principals, to mitigate risk, rigorous due diligence on contractors is essential, ensuring they are DOLE-registered, possess verifiable substantial capital, and maintain independent control over their employees. Contracts must clearly define the scope of work as a specific job or service and avoid any language that reserves control over the contractor’s methods of performance.
